Terms of Service
Last updated:
These Terms of Service (the “Terms”) are an agreement between you and Ryo Hoshi (星 良), a sole proprietor doing business as dazmocco, Japan (“dazmocco”, “we”, “us”). They govern your use of Formatto: the web application at https://formatto.dev, its API, and the Formatto extension for Airtable (together, the “Service”). By creating an account or using the Service you agree to these Terms. If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization, and “you” includes it.
1. The Service
Formatto generates PDF documents (such as invoices, quotes and contracts) from records in your Airtable bases, using templates you choose or design, and can save the result back to an Airtable attachment field, deliver it by email, or return it through the API. We may add, change or remove features over time.
2. Accounts
You must be at least 18 years old and able to form a binding contract to use the Service. You are responsible for keeping your sign-in credentials and API keys confidential and for all activity under your account. Tell us promptly at support@formatto.dev if you believe your account has been compromised.
3. Your Airtable data
To generate documents, you connect the Service to Airtable with an access token or authorization that you control. You grant us permission to read the records you point the Service at, and to write generated files to the fields you designate, solely to provide the Service to you. You are responsible for having the rights needed to use the data in your bases, including any personal data it contains, and for complying with Airtable’s terms. You can revoke access at any time by disconnecting Airtable in Settings or revoking the token in Airtable.
4. Plans, fees and payment
- Prices are shown in USD on the pricing section of the home page. Each paid plan is a monthly subscription that renews automatically at the end of each billing period until cancelled.
- Payment is by credit card and is processed by Stripe. The first charge is made when you subscribe; renewals are charged to the card on file on the renewal date. We do not store your card number.
- Prices include Japanese consumption tax where it applies. Any other taxes, bank or card fees, and currency conversion charges applied by your card issuer are your responsibility.
- Each plan includes a monthly allowance of generated documents and a set of features. If you exceed the allowance, generation pauses until the next period or until you upgrade.
- We may change prices or plan contents with at least 30 days’ notice by email or in the Service. Changes apply from your next renewal after the notice period.
- If a payment fails, we may retry it and, if it still fails, downgrade your account to the free plan or suspend paid features.
5. Cancellation and refunds
You may cancel a paid plan at any time from Billing in the dashboard. Cancellation takes effect at the end of the current billing period, and you keep access to paid features until then. Because the Service is delivered digitally and immediately, fees already paid are not refunded or prorated, except where a refund is required by applicable law or we were unable to provide the Service for reasons attributable to us — in that case, contact us and we will work it out with you individually.
6. Free plan, alpha and beta features
The free plan and any feature labelled alpha, beta, preview or similar are provided for evaluation. They may be limited, changed or withdrawn at any time without notice, and we may reset usage limits or data associated with them.
7. Acceptable use
You agree not to:
- use the Service to produce documents that are unlawful, fraudulent, defamatory or infringing, or that you are not entitled to produce;
- attempt to access other customers’ data, probe or disrupt the Service, or circumvent plan limits or security measures;
- resell or white-label the Service without our written consent, or use it to build a competing product by systematically extracting its templates or output;
- upload malicious code or material that violates others’ rights.
8. Content and intellectual property
You own the data in your Airtable bases, the templates you create and the documents the Service generates for you (“Your Content”). You grant us a limited licence to host and process Your Content only as needed to provide the Service. We own the Service, including our software, the official templates and theFormatto name and marks. You may use the official templates within the Service, including in documents you generate, but not distribute them separately.
9. Third-party services
The Service depends on third parties, including Airtable (your data source), Stripe (payments), and the hosting, storage and email providers listed in our Privacy Policy. Their terms apply to their services, and we are not responsible for their availability or changes they make.
10. Availability and disclaimers
We work to keep the Service available and accurate, but it is provided “as is” and “as available”, without warranties of any kind, express or implied, including fitness for a particular purpose and non-infringement. In particular, you are responsible for checking that generated documents — amounts, tax calculations, legal wording — are correct before relying on them or sending them to others.
11. Limitation of liability
To the extent permitted by law, we are not liable for indirect, incidental, special or consequential damages, or for lost profits, revenue or data, arising from your use of the Service. Our total liability for any claim relating to the Service is limited to the fees you paid us in the 12 months before the claim arose. Nothing in these Terms limits liability that cannot be limited by law, including liability for our wilful misconduct or gross negligence, and the mandatory protections of the Consumer Contract Act of Japan where you are a consumer.
12. Suspension and termination
You may close your account at any time by contacting us. We may suspend or terminate your access if you materially breach these Terms, if required by law, or if we discontinue the Service, in which case we will give reasonable notice where practicable. On termination, your right to use the Service ends; sections 8, 10, 11 and 14 survive.
13. Changes to these Terms
We may update these Terms. For material changes we will give at least 14 days’ notice by email or in the Service. Continued use after the change takes effect means you accept the updated Terms. The date at the top of this page shows when they were last updated.
14. Governing law and jurisdiction
These Terms are governed by the laws of Japan, without regard to conflict-of-law rules. Any dispute arising from the Service or these Terms is subject to the exclusive jurisdiction of the Tokyo District Court as the court of first instance.
